Terms of Use


Article 1 (Application) These Terms of Use (hereinafter referred to as "Terms") establish the conditions for using the software Koemake Live (hereinafter referred to as "Software") provided by Scimit Inc. (hereinafter referred to as "Company"). All users (hereinafter referred to as "Users") who use the Software are deemed to have agreed to these Terms.


Article 2 (Copyright)

  1. The copyright of the Software belongs to the Company.
  2. The Software includes Open Source Software (hereinafter referred to as "OSS"), and notwithstanding the preceding paragraph, the copyright of such OSS belongs to their respective copyright holders.

Article 3 (Preparation of Usage Environment) Users shall prepare necessary communication devices, internet environment, telecommunication lines, computers, etc., required for using the Software at their own expense and responsibility.


Article 4 (Output Voice and Characters)

  1. Users must comply with the terms of service and guidelines of the character rights holders regarding the handling of output voice obtained through the use of the Software.
  2. Users must comply with the terms of service and guidelines of the rights holders regarding the handling of characters associated with the output voice obtained through the use of the Software.


Article 5 (User Registration)

  1. Users who wish to use the Software shall complete the user registration following the specified procedures after agreeing to these Terms.
  2. The Company may not approve user registration if the applicant falls under any of the following:
    • Registration information contains false information, errors, or omissions
    • Has previously violated these Terms
    • The Company deems the registration inappropriate for other reasons
  3. Even after approval of registration, the Company may cancel the registration if any of the above circumstances are discovered.


Article 6 (Account Management)

  1. Users shall properly manage their account information (ID and password) for the Service at their own responsibility.
  2. Users may not transfer, lend, or allow third parties to use their account information.
  3. The Company shall not be responsible for any damages incurred by Users or third parties due to unauthorized use of accounts. Users shall immediately notify the Company upon discovery of unauthorized use.












Article 7 (Prohibited Actions) Users shall not engage in the following actions when using the Software:

  1. Actions that violate laws or public order and morals
    • Criminal acts, fraud, illegal solicitation, violent acts, etc.
  2. Actions related to criminal activities
    • Criminal threats, teaching criminal methods, etc.
  3. Actions that interfere with the operation of the Software
    • Actions that disrupt service operations, cause excessive load, etc.
  4. Actions that infringe upon the rights of other users or third parties
    • Infringement of intellectual property rights, defamation, privacy violation, etc.
  5. Actions impersonating other users
    • Using others' accounts, etc.
  6. Modifying, improving, redistributing the Software, or allowing third parties to use it
  7. Attempting to analyze the structure, functions, or processing methods of the Software through tracing, debugging, disassembling, decompiling, or other means, or attempting to obtain the source code
  8. Unauthorized access to Company servers, accompanying program code alteration, location information alteration, distribution of computer viruses, or other actions that may interfere with normal provision of the Software
  9. Using output voice obtained from the Software for AI learning data, including machine learning
  10. Actions that violate the output voice usage guidelines for each voice model


Article 8 (Service Provision)

  1. The Company provides the Software to Users but may change its content and delivery method at its discretion.
  2. The Company may temporarily suspend or stop services without prior notice to Users in the following cases:
    • System maintenance or updates
    • Service provision becomes difficult due to force majeure such as natural disasters, power outages, communication line failures
    • Other cases where the Company deems suspension or stoppage necessary


Article 9 (Disclaimer)

  1. The Company provides the Software "as is" and makes no warranty regarding its completeness, accuracy, or effectiveness.
  2. The Company shall not be responsible for any damages arising from the use of the Software:
    • Direct or indirect damages resulting from use or inability to use the Software
  3. The Company shall not be responsible for any damages arising from changes, interruptions, or stoppage of the Software:
    • Damages resulting from functional changes, service interruptions, or stoppages
  4. The Company shall not be responsible if Software provision becomes difficult due to force majeure such as natural disasters, war, terrorism, riots, public regulations, labor disputes, power outages, communication failures:
    • Damages resulting from service stoppage or delivery delays due to force majeure


Article 10 (Liability for Damages)

  1. Users shall compensate the Company for any damages (including lost profits and attorney fees) caused by violation of these Terms.
  2. Regarding damages incurred by users due to the Company's intentional or gross negligence in fulfilling obligations under these Terms, compensation shall be limited to direct and actual damages having a reasonable causal relationship with such intentional or gross negligence, up to the amount of usage fees received from Users.
  3. The Company shall not be liable for any damages not caused by intentional or gross negligence, damages arising from special circumstances regardless of foreseeability, or lost profits.


Article 11 (Handling of Personal Information)

  1. The Company uses Users' personal information for providing and operating the Software.
  2. The Company handles Users' personal information appropriately according to the separately established Privacy Policy.
  3. The Company will not provide personal information to third parties without Users' consent, except in the following cases:
    • When required by law
    • When necessary to protect life, body, or property and obtaining User consent is difficult
    • When especially necessary for public health improvement or healthy child development and obtaining User consent is difficult
    • When cooperating with national or local government agencies or their contractors in executing legally mandated duties and obtaining User consent would hinder such execution
    • When personal information is provided due to business succession
    • When provided to contractors within the scope necessary to achieve the purpose of use


Article 12 (Exclusion of Anti-Social Forces)

  1. Users represent and warrant that they do not fall under any of the following:
    • Organized crime groups
    • Members of organized crime groups
    • Associates of organized crime groups
    • Corporate racketeers
    • Other anti-social forces
  2. If Users violate the preceding paragraph, the Company may terminate contracts with Users and stop service provision without notice or warning.
  3. Users represent and warrant that they will not engage in the following actions themselves or through third parties:
    • Violent demands
    • Unreasonable demands beyond legal responsibility
    • Threatening behavior regarding transactions
    • Damaging the Company's reputation or interfering with Company operations through spreading rumors, using fraudulent means, or force
    • Other actions equivalent to the above


Article 13 (Price Changes)

  1. Fee Changes: The Company may change service fees without notice. Changed fees will apply from the next billing period. Prior notice may not be given except where required by specific legal or contractual obligations.
  2. Change Notification: Fee changes may be announced through the Company website or application, but there is no obligation to notify. Continued service use constitutes agreement to changed fees.
  3. Use After Price Changes: Using the service after fee changes constitutes agreement to new fees. Users who do not agree to fee changes may discontinue service use.


Article 14 (Terms Modification)

  1. The Company may modify these Terms at any time. Modifications will be notified through announcement on the Service.
  2. Users are deemed to have agreed to modified Terms if they use the Service after modifications.


Article 15 (Governing Law and Jurisdiction)

  1. These Terms shall be interpreted under Japanese law.
  2. The court having jurisdiction over the Company's location shall have exclusive jurisdiction for disputes related to the Service.
